These Terms of Service ("Terms") govern your use of the software service operated by Ramly LLC ("Ramly", "we", "us", "our"), a Pennsylvania limited liability company. By using the Service at ramly.io, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms.
If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Beta Service
The Service is currently offered as a closed beta. Access requires an invite code issued by us. During the beta period:
- Beta access is provided free of charge with full Professional-tier features
- We may modify, suspend, or discontinue any feature without prior notice
- We may terminate beta access at any time
- Simulation quotas and feature availability are subject to change before general availability
We will provide reasonable notice before transitioning beta users to paid plans.
3. Service Description
Ramly is a web-based Monte Carlo simulation tool for Reliability, Availability and Maintainability (RAM) analysis. It allows users to build Reliability Block Diagrams, define component failure distributions, and run simulations to quantify system availability and cost risk.
Simulation results are statistical estimates based entirely on user-supplied inputs and probabilistic models. We make no warranty that results are accurate, complete, or suitable for any specific engineering decision, regulatory submission, or safety-critical application. You are solely responsible for validating results against applicable engineering standards.
4. Accounts
You are responsible for maintaining the security of your account credentials. Notify us immediately at hello@ramly.io if you suspect unauthorised access.
You may not share your account credentials with others. Each account may only be used by one individual (Team plans explicitly grant multiple named seats).
We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice depending on the severity of the violation.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to circumvent usage quotas, tier limits, or invite code requirements
- Reverse engineer, decompile, or attempt to extract the simulation engine source code
- Use simulation outputs to deceive regulators, clients, or the public
- Submit inputs designed to cause denial-of-service conditions or consume excessive compute resources
- Upload or transmit malicious code, viruses, or harmful content
- Resell, sublicense, or commercialise access to the Service without our written consent
6. Usage Quotas and Billing
Each pricing tier includes a monthly run quota. A "run" is one submitted simulation job, regardless of the number of Monte Carlo iterations. Unused runs do not roll over to the following month.
Paid subscriptions (when available after beta) are billed in advance — monthly or annually depending on your plan. Cancellation takes effect at the end of the current billing period. We do not offer partial-month refunds unless required by applicable law.
We reserve the right to modify pricing with 30 days' notice to existing subscribers. Beta users will receive at least 30 days' notice before any billing begins.
7. Intellectual Property
The Service — including its simulation engine, user interface, brand, and documentation — is the intellectual property of Ramly LLC. You may not reproduce, distribute, or create derivative works without prior written permission.
Data you create within the Service (models, component libraries, simulation results) remains your property. You grant us a limited, non-exclusive licence to store, process, and back up that data solely to provide the Service to you. We will not use your model data for any other purpose.
8. Limitation of Liability
To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:
- Engineering decisions made in reliance on simulation results
- Loss of data due to accidental deletion or service interruption
- Business losses, lost profits, or loss of revenue
Our total aggregate liability for any claim shall not exceed the greater of (a) the total amount you paid us in the 12 months preceding the claim, or (b) USD $100.
Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or free of security vulnerabilities. We are not responsible for service interruptions caused by third-party infrastructure providers.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Pennsylvania.
11. Changes to These Terms
We may update these Terms as the Service evolves. We will notify registered users of material changes by email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the revised Terms.
